Terms of Service

By accessing or using the Service in any way, you confirm that you are at least 18 years old, have read and understood these Terms, and agree to be bound by them. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

Komander.ai is an AI-powered platform that helps construction professionals analyze project costs, detect overruns, track change orders, and monitor cash flow. Core features include:

• Automated analysis of Bill of Quantities (BOQ) and actual cost data.
• Integration with Google Sheets and other data sources you connect to the Service.
• AI-generated insights, alerts, and reports based on your project data.
• Dashboard visualization of cost and budget metrics.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

To access most features, you must sign in using a Google account via OAuth. By doing so, you grant Komander.ai permission to access the Google services you authorize during the OAuth flow. You are responsible for:

• Maintaining the confidentiality of your account.
• All activity that occurs under your account, whether or not authorized by you.
• Notifying us immediately of any unauthorized use at legal@komander.ai.

The Service integrates with Google APIs, including Google Sheets and Google Drive, to read project data you explicitly connect. By connecting your Google account, you:

• Authorize Komander.ai to access the Google resources covered by the OAuth scopes you approve.
• Represent that you have the right to share any data in those resources with us (e.g., that you own or have appropriate permission for the spreadsheets you connect).
• Acknowledge that our use of data obtained from Google APIs is governed by the Google API Services User Data Policy, including the Limited Use requirements.

You may revoke Komander.ai's access to your Google account at any time via Google Account Permissions. Revocation will prevent further data access but does not retroactively delete data already processed.

You agree to use the Service only for lawful purposes. You must not:

• Upload, submit, or connect data that you do not have the right to share.
• Use the Service to violate any applicable law, regulation, or third-party rights.
• Attempt to reverse engineer, decompile, or extract the source code or AI models underlying the Service.
• Introduce malicious code, interfere with, or disrupt the Service or its infrastructure.
• Use automated means (bots, scrapers) to access the Service without our written permission.
• Resell, sublicense, or commercially exploit the Service without prior authorization.
• Misrepresent the source of any data you upload or provide fabricated project information to manipulate AI outputs.

The Service uses AI to analyze your data and generate insights, reports, and recommendations. You acknowledge and agree that:

• AI outputs are informational only. They do not constitute professional financial, legal, engineering, or accounting advice.
• Accuracy is not guaranteed. AI models can make errors or produce outputs that are incomplete or misleading. You are responsible for independently verifying any AI-generated insight before making business decisions.
• Garbage in, garbage out. The quality of outputs depends on the quality of the data you provide. We are not liable for incorrect results caused by inaccurate or incomplete input data.

7.1 Our IP

The Service, including its software, design, AI models, algorithms, and content (excluding your data), is owned by Komander.ai and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

7.2 Your Data

You retain all ownership rights in the data you submit to the Service. You grant Komander.ai a limited, non-exclusive, worldwide license to process your data solely to provide and improve the Service as described in our Privacy Policy.

7.3 Feedback

If you submit feedback, suggestions, or ideas about the Service, you grant us a royalty-free, perpetual license to use and incorporate that feedback without restriction or compensation.

Certain features of the Service may require a paid subscription. Where applicable:

• All fees are stated in Indonesian Rupiah (IDR) or as otherwise specified at checkout, and are exclusive of applicable taxes.
• Subscriptions auto-renew unless cancelled before the renewal date. You may cancel at any time through your account settings.
• Refunds are handled on a case-by-case basis. Contact us at legal@komander.ai within 7 days of a charge if you believe it was made in error.
• We reserve the right to change pricing with 30 days' notice to active subscribers.

Either party may terminate the relationship at any time. You may close your account through settings or by contacting us. We may suspend or terminate your access if you violate these Terms, create legal exposure for us, or for other legitimate business reasons, with notice where reasonably practicable.

Upon termination, your right to use the Service ceases. Sections that by their nature should survive (IP, disclaimers, limitation of liability, governing law) remain in effect.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR COMPLETE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KOMANDER.AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) IDR 1,000,000.

You agree to indemnify and hold harmless Komander.ai and its affiliates from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any third-party right; or (d) any data you submit to the Service.

These Terms are governed by the laws of the Republic of Indonesia. Any dispute arising from or related to these Terms will be resolved first through good-faith negotiation, and thereafter through binding arbitration or the courts of Indonesia, as applicable.

We may revise these Terms from time to time. We will provide at least 14 days' notice of material changes via email or an in-app notification. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.
